These Disclaimers (“Disclaimers”) apply to your access to and use of the website at openonda.com, together with all associated pages, content, and features (the “Website”), which is operated by OpenOnda Pte. Ltd. (UEN 202515980Z) (“OpenOnda”, “we”, “us”, “our”).
They also apply to any information, materials, or communications otherwise made available by OpenOnda. By accessing or using the Website, you confirm that you have read, understood, and accepted these Disclaimers in full. If you do not agree with them, you must not access or use the Website. These Disclaimers form part of, and should be read together with, our Terms of Use, Privacy Policy, and Cookie Policy.
2. Scope and relationship with other agreements
These Disclaimers describe important limitations on the information and Services made available by OpenOnda. They are intended to be read alongside, and do not replace, our Terms of Use or any other agreement between you and OpenOnda.
If you become a client of OpenOnda, your engagement is governed by a separately signed Client Service Agreement (“CSA”). In the event of any conflict or inconsistency between these Disclaimers and a signed CSA, the terms of the CSA prevail in respect of that service relationship. Nothing in these Disclaimers is intended to exclude or limit any liability that cannot lawfully be excluded or limited.
3. Definitions
In these Disclaimers, unless the context requires otherwise:
• “Client” means a business or individual that has entered into a CSA with OpenOnda.
• “Content” means all information, text, graphics, images, data, and other materials made available on the Website.
• “CSA” means a Client Service Agreement entered into between a Client and OpenOnda.
• “Platform” means any third-party review or business-listing platform, including Google Business Profile and Facebook.
• “Services” means the review and reputation management services offered by OpenOnda.
• “you”, “your” means any person who accesses or uses the Website.
4. General information only
The Content on the Website is provided for general informational and business purposes only. It is not tailored to your particular circumstances, needs, or objectives, and it may not be appropriate for your situation. You are responsible for evaluating the relevance and suitability of any Content before relying on it.
5. No professional advice
Nothing on the Website, and nothing otherwise provided by OpenOnda, constitutes legal, financial, investment, regulatory, tax, accounting, or other professional advice.
OpenOnda is a review and reputation management consultancy; it is not a law firm, financial adviser, or regulated professional services firm. You should obtain your own independent professional advice before making any decision or taking any action based on information made available by OpenOnda.

Our Services are provided on a best-efforts basis. OpenOnda does not guarantee, warrant, or represent that any particular result will be achieved.

• any specific number of reviews or volume of customer feedback;
• any particular star rating, average rating, or improvement in rating;
• any specific search ranking, visibility, or level of online exposure;
• any specific level of customer engagement, enquiries, leads, or sales; or
• the publication, retention, or removal of any review or other content by any Platform.
The outcomes of reputation and review activities depend on numerous factors outside our control, including Platform algorithms and policies, customer willingness to provide feedback, market and competitive conditions, and the quality of your underlying business, products, or services.
7. Earnings and business outcomes
Any reference on the Website to potential growth, revenue, return on investment, or other business outcomes is illustrative only and is not a promise, projection, or guarantee of results. Your results will depend on factors specific to your business, many of which are beyond OpenOnda’s control. You accept full responsibility for your own business decisions and their outcomes.

Any testimonials, case studies, statistics, figures, or examples shown on the Website reflect the experiences of specific clients in specific circumstances at specific times. 9. Genuine reviews and ethical conduct
OpenOnda operates exclusively on the basis of genuine customer sentiment. We do not provide, and nothing on the Website should be understood as offering, fake reviews, paid reviews, incentivised reviews, or any form of review manipulation or deceptive conduct.
All review activities are intended to be carried out ethically and in compliance with the applicable terms of service of the relevant Platforms and with applicable Singapore law. OpenOnda may decline any request that it reasonably believes would require it to act unethically or in breach of Platform policies or applicable law.
10. Third-party platforms
Our Services involve third-party review and business-listing Platforms, including Google Business Profile and Facebook. These Platforms operate independently of OpenOnda. Their policies, features, algorithms, and decisions are determined solely by them and may change at any time without notice.
OpenOnda is not affiliated with, endorsed by, sponsored by, or acting on behalf of any Platform, and references to any Platform are for identification purposes only. We accept no responsibility or liability for the acts, omissions, policies, or decisions of any Platform, including any decision to publish, withhold, suspend, or remove any content, listing, or account.
11. Negative review removal
Where we assist with the removal of reviews that appear to be fake, defamatory, or in breach of Platform policies, we do so by documenting the relevant evidence and submitting requests through the proper Platform channels. The decision to remove or retain any review rests solely and finally with the relevant Platform. OpenOnda does not guarantee that any review will be removed and accepts no liability where a Platform declines a removal request. We do not seek the removal of legitimate customer feedback.
12. Third-party links and resources
The Website may contain links to third-party websites, resources, or services, provided for your convenience only. We do not control or endorse these third parties and are not responsible for their content, accuracy, availability, products, services, or privacy practices. Accessing any linked website or resource is entirely at your own risk and is subject to the terms and policies of that third party.
13. Artificial intelligence and automated tools
In delivering our Services, OpenOnda may use software, automation, and artificial intelligence (AI) tools to assist with tasks such as monitoring, analysis, summarisation, and drafting. While we apply professional judgement and human oversight, such tools may produce errors, omissions, or incomplete or inaccurate outputs, and their outputs should not be relied upon as definitive or error-free. OpenOnda remains responsible for the Services it delivers under any signed agreement, subject to the limitations set out in that agreement and in these Disclaimers.

Any statements on the Website regarding future plans, expectations, or potential outcomes are forward-looking and inherently uncertain. They are based on assumptions and information available at the time and are not guarantees of future performance. Actual outcomes may differ materially. OpenOnda is under no obligation to update any forward-looking statement.
15. No client relationship from Website use
Your use of the Website does not, by itself, create any client, advisory, fiduciary, or other professional relationship between you and OpenOnda. Submitting an enquiry through the Website does not oblige either party to enter into any agreement. A client relationship arises only upon the execution of a CSA by both parties.
16. Client-provided information
Where you provide information, data, or materials to OpenOnda (including any customer data provided in connection with the Services), you are responsible for ensuring that such information is accurate, lawful, and provided with all necessary consents and rights. OpenOnda is not responsible for any loss or liability arising from inaccurate, incomplete, or unlawfully provided information, and reliance by OpenOnda on such information does not constitute a warranty by OpenOnda as to its accuracy.
17. Accuracy and availability of the Website
While we take reasonable care to ensure that the Content is accurate and current, we make no representation or warranty, express or implied, as to its accuracy, completeness, reliability, or suitability for any purpose.
The Content, including service descriptions and any indicative pricing, may change without notice. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with your use of the Website (whether in contract, tort, including negligence, or otherwise) is limited to one hundred Singapore Dollars (SGD 100).
Where you are a Client, liability arising from the Services is governed instead by the limitation-of-liability provisions of your CSA. Nothing in these Disclaimers excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
20. Relationship with your Client Service Agreement
These Disclaimers apply to all users of the Website. They are not intended to vary the terms of any CSA. Where you are a Client, your CSA governs the service relationship, and in the event of any conflict or inconsistency between these Disclaimers and your CSA, the terms of your CSA prevail.
21. Changes to these Disclaimers
We may update these Disclaimers from time to time. The version published on the Website at the time you access it applies to your use. Material changes take effect on posting, and your continued use of the Website after changes are posted constitutes acceptance of the revised Disclaimers.
22. Governing law and dispute resolution
These Disclaimers are governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Disclaimers will first be referred to good-faith negotiation between the parties.
If it is not resolved within thirty (30) days, it will be submitted to mediation in Singapore under the Singapore Mediation Centre Rules before any court proceedings are commenced. Subject to the above, you irrevocably submit to the non-exclusive jurisdiction of the courts of the Republic of Singapore.
